Refering to a post I saw and from what I know of Business...

"Well the thing about this Merge is that Alladin will hold 60% of the merger
share now were I come from that means they also own control and what they
say goes."

Now AWCorp is the world leader in 3D internet communication technology
correct? Now from all ive learnt (however little it is compared to some) I
cannot foresee how having a company that knows between little and nil about
3D internet technology can run a 3D internet communications technology
company!

All these mergers and rubbish, its getting out of hand. AWC should be
getting at least 30% more capital input by now from the increased prices,
despite allot of citizens leaving. What I cannot understand is why perform
such mergers that are only going to leave your company weaker because its
with split control.

What I cannot understand is why AWCorp dosent seize the opertunity to make
more money itself, while at the same time pleasing the citizens with more
development. AWC is perfect for e-commerce, what has it done... near zero,
alphabit has done more in a few weeks than AWC has done in along time.

Im gonna go back though my business studies book and whip out awc's SEC
report and have a lil search though and think up my own ideas. If anyone
else has any ideas tell AWC, before they go do something even stupider...

Active Worlds is by no means the "leader in 3D internet commincations
technology". You shouldn't belive everything you read on the first page of
activeworlds.com. And As we've seen on a number of occasions before, The AW
Management don't have a clue about running a 3D Communcations Technology
Company themselfs! This merger is a perfect example. If anything we can hope
that Alladin have a better understanding internet business and change AW for
the better.

Alladin is a small net company who authored a program called StuffIt which
is a semi-popular compression utility that is better than Winzip & co is
many aspects. Both Alladin and AWCorp are floundering in the Stock Market at
the moment and have come to an agreement whereby the two companies can keep
their heads above water by merging (i.e. in the NASDAQ) and possibly even
improve eachothers technology.

Seems to me like another lame business move to try and delay their slow and
inevitable death as a company. Where AW went wrong has been debated so many
times, but IMO they coould still save themselfs. They need to advertise. A
small time Ad Campaign on British television for example. Packages are cheap
with channels 3, 4 and 5 and now that UK Teens are slowly tiring with Habbo
Hotel, I'm sure they'd be looking for a new alternative.

But then, what would I know? I'm just a 15 year old kid...

I wonder if they did not aquire Aladin for their compression
technology....maybe to yank Zip outta the picture and thereby giving a
different channel for compressing and possibly securing their 3D content?
Could be a good move in the long run....giving them much more credibility
with the 3D object creators.
Just pondering out loud....:)

I can just use Multizip to unzip them all....then hopefully if they do,
someone would make a similar program for that type of compression also.

Hi everyone:

[View Quote] And audio ads on Live365 are pretty darn cheap too IF AWCORP WOULD GIVE 'EM
A CHANCE!!! At least the management at Live365 knows NOT to merge with a
CARROT if you're only AN APPLE.

> But then, what would I know? I'm just a 15 year old kid...

But then too Robbie, I'm 20 years older than you and I *still* don't have a
clue as to what they think they're trying to accomplish. Maybe they think
being in MA as opposed to Silicon Valley seems to be enough to impress the
markets....I dunno...

But we should give Alladin a chance though....

Cheers for now :-)

AWC's Problems and My possable solutions (from SEC Report)

"WE MAY NOT BE SUCCESSFUL IN MARKETING OUR TECHNOLOGY FOR E-COMMERCE
APPLICATIONS. "

E-commerce is still a very new market and as such it is never certain what
factors may effect the situation of a company. This statement makes the
comment of "marketing", in my experience i have not to date seen any
marketing of the standards that are required for attracting large numbers of
users or clients towards Active Worlds and / or its software. To Aquire more
clients the company must engage in sucessfull marketing of its own and not
based on the clients word of mouth methods.

----------------------------------------------------------------------------
---------------
"OUR FAILURE TO DEVELOP STRATEGIC RELATIONSHIPS COULD INHIBIT OUR ABILITY TO
GROW"

Strategic relationships require several things, first being stratergy, it is
important to identify key relationships that would be benefital to Active
Worlds Corp and the business of which the relationship is formed with.

----------------------------------------------------------------------------
---------------

"BECAUSE WE ARE SEEKING TO EXPAND OUR BUSINESS AND HAVE LIMITED MANAGEMENT
PERSONNEL, WE MAY HAVE DIFFICULTY IN MANAGING OUR GROWTH SHOULD WE HAVE ANY
GROWTH"

I find this strange, Active Worlds features a fully functional Universal
Welcome message that communicates with a community of thousands, many of
which have high business managment skills that would be benefitial and could
possably be asked to take employment with Active Worlds Corp if required.

----------------------------------------------------------------------------
---------------

"WE MAY HAVE DIFFICULTY HIRING QUALIFIED EMPLOYEES WITH TECHNICAL OR SALES
EXPERIENCE"

Another case of ask and thou shall recieve. The Active Worlds community is
complete will fully featured programers that combined have ability capable
of development on a scale that has never been seen in Active Worlds.

----------------------------------------------------------------------------
---------------

"WE MAY BE UNABLE TO RESPOND TO THE RAPID TECHNOLOGICAL CHANGE IN OUR
INDUSTRY."

It is logical, that if there is a rapid technological change in a industry
that the respective company ensures that if there is development, they have
already been there, done it, and superseeded it 5 months previously. This is
the only way to ensure that the product will have greater apeal to the
clients it is targetted at.

----------------------------------------------------------------------------
---------------

"WE MAY MAKE ACQUISITIONS WITHOUT INFORMING STOCKHOLDERS OR SEEKING THEIR
APPROVAL"

There is nothing wrong with this, although AWCorp would be wise to seek the
opinions of existing clients (including but not limited to citizens) where
the acqusition will be directed towards them in such ways that they will in
some way incur the costs of this acqusition.

----------------------------------------------------------------------------
---------------

"FUTURE ACQUISITIONS INVOLVE RISKS FOR US"

This is the same for every company, but with adequate resources stored any
risks may be able to be canceled out.

----------------------------------------------------------------------------
---------------

"WE DO NOT HAVE ANY PATENT PROTECTION FOR OUR SOFTWARE, AND WE MAY NOT BE
ABLE TO PROTECT OUR INTELLECTUAL PROPERTY RIGHTS"

Although this is a difficulty AWCorp will have to overcome, if the software
code is disclosed due to any circumstances will be utter dissaster for
Active worlds if the software is taken over by someone with greater market
power. This must pevented at all costs.

----------------------------------------------------------------------------
---------------

"IF BUSINESSES DO NOT ACCEPT THREE-DIMENSIONAL INTERNET WEB SITES AS A
MEDIUM FOR ADVERTISING AND E-COMMERCE, OUR ABILITY TO GENERATE REVENUE MAY
BE LIMITED"

Oh please, if they do not accept it, make them accept it. If AWcorp cannot
make them accept it, im sure I can (or find someone who can) purswade them
otherwise in a hour of chat and viewing on Active Worlds.

----------------------------------------------------------------------------
---------------

"OUR SYSTEMS MAY FAIL OR EXPERIENCE A SLOW DOWN AND OUR USERS DEPEND UPON
OTHERS FOR ACCESS TO OUR WEB SITE"

Why cant the site be mirrored? There must be GigaBytes of space available
for little cost.

----------------------------------------------------------------------------
---------------

"IF WE ARE UNABLE TO ASSURE E-COMMERCE VENDORS AND USERS THAT WE CAN PROVIDE
ADEQUATE SECURITY, OUR WEB SITE MAY NOT BE ACCEPTED"

Agreed, ever tried getting a newbie to speak in encrypted text to a high
security bot? It aint prity! The only solution to this would be direct
browser plugins aproved by Active Worlds for entering infromation that would
then be sent directly to the server using extreme levels of encryption.

----------------------------------------------------------------------------
---------------

"OUR COMMON STOCK PRICE HAS BEEN AND IS LIKELY TO BE HIGHLY VOLATILE"

Be honest, the stock price has gone down in flames. Maybe if you can get it
out of the small caps market and into something greater your chances of
stability would be increased.

----------------------------------------------------------------------------
---------------

"WE ARE UNLIKELY TO PAY DIVIDENDS ON OUR COMMON STOCK IN THE FORESEEABLE
FUTURE."

Fine, but you beter start paying something out if someone invests allot of
they are gonna be 'slightly' annoyed.

----------------------------------------------------------------------------
---------------

"WE DO NOT CURRENTLY MEET THE CONTINUED LISTING REQUIREMENTS FOR THE NASDAQ
SMALLCAP MARKET."

Thats your fault AWC, do the above to solve it.

----------------------------------------------------------------------------
---------------

"WE ARE CONTROLLED BY OUR MANAGEMENT WHICH MEANS THAT MANAGEMENT CAN PREVENT
A THIRD PARTY FROM ACQUIRING US EVEN IF AN ACQUISITION IS IN THE BEST
INTEREST OF OUR STOCKHOLDERS"

So much for this with AWC's latest merger....

The ZIP compression method is known and people have written software to
compress files down to a single ZIP. StuffIt's file format and compression
method is only known to the author(s) because they haven't decided to
release it to the world.

No one can create a utility without knowing about the things it is supposed
to manipulate and create. It's not just a matter of doing an "algarythm" and
certainly would take more than a few seconds with or without the file specs.

Not releasing the algorithm together with encrypting
sounds to me as if it was what everyone demands. Only
few will try to put their hands on a program to decrypt
a (on Wintel PC) not so popular method.
